Terms of Service

Last updated: July 2026

1. Introduction and acceptance

These Terms of Service ("Terms") govern your access to and use of the GleeGuide website, platform, and related services (collectively, the "Services") provided by XO10 B.V. ("GleeGuide", "we", "us", or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

If you enter into a separate written agreement with us, such as a subscription order form or data processing agreement, that agreement prevails where it conflicts with these Terms.

2. About GleeGuide

GleeGuide is an AI-powered guest experience platform for holiday parks, hotels, and leisure operators. The Services may include website access, platform functionality, AI agents, integrations, dashboards, onboarding, support, and related professional services as described on our website or agreed in writing.

3. Eligibility and account registration

You must be at least 18 years old and authorised to act on behalf of your organisation where applicable.

When creating an account or submitting information, you agree to provide accurate, complete, and up-to-date details. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately if you suspect unauthorised access.

4. Use of the Services

You agree to use the Services only for lawful business purposes and in accordance with these Terms.

You must not:

  • Use the Services in a way that violates applicable law or third-party rights.
  • Attempt to gain unauthorised access to systems, accounts, or data.
  • Reverse engineer, copy, scrape, or resell the Services except as expressly permitted.
  • Upload malicious code or interfere with the integrity or performance of the Services.
  • Use the Services to send unlawful, misleading, abusive, or spam communications.
  • Misrepresent your identity or affiliation.

We may suspend or restrict access if we reasonably believe you have breached these Terms or pose a security or legal risk.

5. Customer content and guest data

If you use GleeGuide to communicate with guests or process guest data, you remain responsible for:

  • Having a valid legal basis to process guest personal data.
  • Providing appropriate privacy notices to guests.
  • Ensuring communications comply with applicable hospitality, marketing, and privacy laws.
  • The accuracy and lawfulness of content, prompts, workflows, and configurations you configure in the platform.

You grant us a limited licence to host, process, and display customer content solely to provide and improve the Services.

6. Subscriptions, pilots, and fees

Access to certain features may require a paid subscription, pilot agreement, or order form. Pricing, scope, billing frequency, and implementation terms are as stated on our website or agreed in writing.

Unless otherwise agreed:

  • Fees are exclusive of applicable taxes.
  • Subscriptions renew according to the agreed billing cycle unless cancelled in accordance with your contract.
  • We may update pricing for renewals with reasonable notice where permitted by your agreement.

Failure to pay applicable fees may result in suspension of access.

7. Intellectual property

All rights in the Services, including software, branding, documentation, designs, and underlying technology, remain owned by XO10 B.V. or its licensors. No rights are granted except as expressly stated in these Terms or a separate agreement.

You may not use GleeGuide trademarks, logos, or branding without our prior written consent.

8. Confidentiality

Each party may receive confidential information from the other in connection with the Services. Both parties agree to use confidential information only for the purpose of the relationship and to protect it with reasonable care, except where disclosure is required by law.

9. Availability and changes

We aim to provide reliable Services but do not guarantee uninterrupted or error-free operation. We may modify, update, or discontinue parts of the Services from time to time, including for maintenance, security, or product improvement.

Where reasonably practicable, we will provide notice of material changes that negatively affect subscribed functionality.

10. Third-party services and integrations

The Services may integrate with third-party systems such as PMS, CRM, CMS, analytics, or messaging platforms. We are not responsible for third-party services, their availability, or their terms. Your use of third-party services is subject to the relevant provider's terms.

11. Disclaimer of warranties

To the maximum extent permitted by law, the Services are provided "as is" and "as available". We disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms excludes warranties that cannot be excluded under applicable law.

12. Limitation of liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
  • Our total aggregate liability arising out of or related to the Services or these Terms is limited to the fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim, or EUR 1,000 if no fees have been paid, unless a higher limit is required by mandatory law.

These limitations do not apply to liability that cannot be limited under applicable law.

13. Indemnity

You agree to indemnify and hold us harmless against claims, damages, losses, and expenses arising from your misuse of the Services, breach of these Terms, or unlawful processing of guest or customer data through your account, except to the extent caused by our wilful misconduct or gross negligence.

14. Term and termination

You may stop using the website at any time. Paid subscriptions and pilots terminate according to the applicable agreement.

We may suspend or terminate access if you materially breach these Terms, fail to pay fees, or if continued provision of the Services becomes unlawful or impracticable.

Upon termination, your right to access the Services ends. Provisions that by nature should survive termination will continue to apply, including intellectual property, confidentiality, disclaimers, and limitations of liability.

15. Governing law and disputes

These Terms are governed by the laws of the Netherlands. Disputes shall be submitted to the competent court in Amsterdam, Netherlands, unless mandatory law requires otherwise.

If you are a consumer within the meaning of applicable law, you may also have rights under mandatory consumer protection rules.

16. Changes to these Terms

We may update these Terms from time to time. The latest version will be published on this page with an updated "Last updated" date. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms, unless otherwise required by law.
